Terms of Service

1.Definitions

"Content" means any text, images, audio, video, files, documents, prompts, feedback, or other material submitted to, generated by, or displayed through the Service.

"User Content" means Content that you submit, upload, or transmit to the Service, including but not limited to prompts, messages, uploaded files, images, documents, audio recordings, video files, profile information, and any other data you provide.

"AI Output" means any text, images, code, data, suggestions, recommendations, or other material generated by AI models through the Service in response to your inputs, including but not limited to chat responses, generated images, code completions, summaries, translations, and any derivative content produced by the AI.

"Account" means a registered user profile through which you access the Service, including all associated data, preferences, settings, and usage history.

"Third-Party Provider" means any external model provider, infrastructure partner, cloud service, content delivery network, analytics provider, or service whose technology is integrated into or accessed through the Service.

"Effective Date" means the date on which the current version of these Terms becomes binding, as indicated at the top of this document.

"Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights, and other intellectual property rights as may now exist or hereafter come into existence, and all applications and registrations, renewals, and extensions thereof, under the laws of any state, country, territory, or other jurisdiction.

"Prohibited Content" means any Content that violates Section 6 (Acceptable Use) or Section 11 (Prohibited Content) of these Terms.

"Service" means the Exypnos platform, including the website at exypnos.one, all related subdomains (including but not limited to chat.exypnos.one), mobile applications, browser extensions, desktop applications, APIs (if any), and all associated features, tools, and product surfaces, whether accessed through a web browser, application, or any other means.

"Usage Data" means data automatically collected about your use of the Service, including but not limited to access times, pages viewed, features used, interaction patterns, device information, browser type, operating system, IP address, referring URLs, and other technical metadata.

2.Acceptance of Terms

By creating an account, clicking "I Agree" (or a similar affirmative action), or by completing the consent mechanism presented to you before substantive use of the Service, you signify that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines, policies, or rules referenced herein or posted on the Service (collectively, the "Agreement"). If you do not agree to all of the terms and conditions of this Agreement, you are not authorized to use the Service and must cease all use immediately.

For registered users, we require affirmative acceptance of these Terms through a click-through consent mechanism (such as checking a box or clicking an "I Agree" button) during account creation. Your affirmative action constitutes an electronic signature with the same legal force and effect as a physical signature, consistent with the Electronic Transactions Act 2010 of Singapore.

An account and affirmative acceptance of these Terms are required before using interactive Service features such as submitting prompts, generating content, or uploading files. Passive browsing of public-facing pages does not constitute acceptance.

We maintain records of user consent, including the method of acceptance, timestamp, and version of Terms accepted. These records may be used as evidence of your agreement to these Terms.

We may require you to re-accept these Terms through a click-through agreement, consent prompt, or similar mechanism when material changes are made. Failure to accept updated Terms when prompted will result in restricted or suspended access until acceptance is provided.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity and its affiliates to these Terms, in which case the terms "you" and "your" shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Service.

3.Service Scope and Description

Exypnos is an end-user AI product that currently includes text chat, voice chat, image generation, image/PDF/video uploads, AI-assisted features such as typing practice and other interactive tools. The Service may also include experimental or beta features that are made available for testing and evaluation purposes.

We do not currently provide a public API. Unauthorized programmatic access to the Service is strictly prohibited and may result in immediate termination of your access and potential legal action.

Depending on your selected model, prompts and attachments may be processed by Exypnos-operated systems or by Third-Party Providers. The specific provider used depends on your model selection and routing configuration. You acknowledge that different models may have different capabilities, limitations, response characteristics, and associated third-party terms.

Features, models, and capabilities may vary by region, account type, or system availability and are subject to change without prior notice. We are under no obligation to maintain any particular feature, model, or capability.

The Service may include features that use automated decision-making, machine learning, or artificial intelligence to process your inputs and generate outputs. These automated processes are integral to the Service's functionality. You acknowledge and consent to the use of such automated processing as part of your use of the Service.

The Service is designed for general consumer use. It is not designed, intended, or authorized for use in any application or situation where failure or inaccuracy could lead to death, personal injury, severe physical or environmental damage, or significant financial loss (collectively, "High-Risk Applications"). You agree not to use the Service for any High-Risk Applications.

4.Eligibility and Minimum Age

You must be at least 13 years old (or the minimum age required by applicable law in your jurisdiction, whichever is higher) to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

If you are under the age of majority in your jurisdiction (but at least the minimum age specified above), you may use the Service only with the verifiable consent and ongoing supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. The parent or legal guardian is fully responsible for the minor's use of the Service, including all financial charges (if any) and legal liability.

We reserve the right to request proof of age or parental consent at any time and to suspend or terminate accounts where eligibility cannot be verified. Failure to provide requested verification within a reasonable timeframe may result in account suspension or termination.

If you are accessing the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms and that the organization meets all eligibility requirements.

You may not use the Service if you have been previously banned or removed from the Service, or if your access has been terminated for any reason, unless you have received explicit written permission from Exypnos to create a new account.

You may not use the Service if doing so would violate any applicable law or regulation in your jurisdiction, including but not limited to laws regarding the export of data or software, data privacy, or the use of AI-generated content.

5.Accounts and Access Security

You must create and sign in to a registered account before using interactive Service features.

You are solely responsible for all activity that occurs under your account, including any actions taken by others who access your account due to your failure to secure your credentials. This includes any Content submitted, purchases made (if applicable), or communications sent from your account.

You must provide accurate, current, and complete information when creating an account and keep it updated. Providing false, misleading, or outdated information is grounds for immediate termination. You agree to promptly update your account information if it changes.

You must not share, transfer, sell, lease, or otherwise make your account available to any other person. Each account is for a single individual user. Creating multiple accounts to circumvent restrictions, bans, or rate limits is strictly prohibited.

You must immediately notify us at [email protected] if you suspect unauthorized access to your account or any security breach. You remain responsible for any activity on your account until you have notified us and we have had a reasonable opportunity to act on that notification.

We reserve the right to reclaim, reassign, or disable usernames that are inactive for an extended period, misleading, offensive, or that infringe on trademarks or third-party rights, at our sole discretion.

You are responsible for maintaining the confidentiality of your account credentials, including any passwords, authentication tokens, or access keys. You must use a strong, unique password and enable any additional security measures we make available.

We may require additional identity verification steps for certain account actions, including but not limited to password resets, account recovery, data export requests, or account deletion. You agree to cooperate with such verification procedures.

6.Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms, all applicable laws, regulations, and any posted guidelines or policies. You are solely responsible for ensuring that your use of the Service complies with all laws applicable to you. You agree not to use Exypnos to:

• Violate any applicable local, state, national, or international law, regulation, or treaty, or infringe upon the rights of any third party, including but not limited to intellectual property rights, privacy rights, and publicity rights.
• Generate, upload, store, transmit, or distribute content that is unlawful, defamatory, libelous, obscene, pornographic (including child sexual abuse material), threatening, harassing, hateful, discriminatory, or that promotes violence, self-harm, or suicide.
• Generate, upload, or distribute malware, viruses, ransomware, spyware, trojans, worms, logic bombs, phishing content, scams, spam, or any other malicious, harmful, or deceptive material.
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems, servers, or networks connected to the Service, including through hacking, password mining, social engineering, or any other means.
• Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, algorithms, model weights, training data, or underlying technology of the Service or any AI models accessible through the Service.
• Scrape, crawl, spider, index, or use any automated means (including bots, scripts, or browser extensions) to access, monitor, or extract data from the Service outside of intended product usage.
• Bypass, circumvent, disable, or interfere with any security, rate-limiting, access control, authentication, content-filtering, or digital rights management features of the Service.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity, including Exypnos employees, moderators, or representatives.
• Use the Service to develop competing AI products or services, to benchmark the Service for competitive purposes, or to train or improve any machine learning model or AI system without prior written consent from Exypnos.
• Engage in any activity that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service, including denial-of-service attacks, flooding, mailbombing, or crash attacks.
• Use the Service to generate content that infringes on copyrights, trademarks, trade secrets, patents, or other intellectual property rights of third parties.
• Use the Service to facilitate or promote illegal activities, including but not limited to fraud, identity theft, money laundering, terrorism, human trafficking, drug trafficking, or any other criminal activity.
• Use the Service to generate or disseminate misinformation, disinformation, deepfakes, or synthetic media intended to deceive, manipulate public opinion, or interfere with elections or democratic processes.
• Use the Service to engage in unauthorized practice of any regulated profession, including but not limited to law, medicine, accounting, financial advising, or engineering.
• Use the Service to create, distribute, or facilitate the creation of unsolicited bulk communications (spam) or to harvest email addresses or other contact information for the purpose of sending spam.
• Use the Service in any manner that could subject Exypnos to liability, cause Exypnos to lose (in whole or in part) the services of its internet service providers or other suppliers, or bring Exypnos into disrepute.
• Resell, redistribute, sublicense, or commercially exploit access to the Service, or systematically resell or sublicense AI Output as a standalone product or service (such as through your own API or content marketplace), without prior written authorization from Exypnos.
• Use the Service to stalk, bully, intimidate, or harass any individual, or to collect or store personal data about other users without their express consent.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein, including by introducing corrupted data, invalid inputs designed to exploit system vulnerabilities, or adversarial prompts designed to manipulate AI behavior ("prompt injection" or "jailbreaking").

7.AI Output, Accuracy, and High-Risk Use

AI Output may be inaccurate, incomplete, outdated, biased, or misleading. AI models can produce plausible-sounding but factually incorrect information ("hallucinations"). You are solely responsible for reviewing, verifying, and validating all AI Output before relying on it for any purpose. Exypnos does not guarantee the accuracy, completeness, reliability, or suitability of any AI Output.

AI Output does not constitute professional advice of any kind, including but not limited to legal, medical, psychological, financial, tax, accounting, engineering, architectural, or safety advice. You must not rely solely on AI Output for decisions that could affect your health, safety, legal rights, financial situation, or any other significant matter. Always consult qualified, licensed professionals for such matters.

AI Output may occasionally produce content that is offensive, inappropriate, biased, discriminatory, or inconsistent with your expectations despite our safety measures. We do not guarantee that AI Output will be free from errors, biases, harmful content, or objectionable material. You use AI Output at your own risk.

You acknowledge that similar or identical prompts may produce different AI Output at different times, and that AI Output is not guaranteed to be unique, original, non-infringing, or consistent across sessions or users.

Exypnos does not claim ownership of AI Output generated in response to your prompts. Subject to these Terms, you may use AI Output for your personal or internal business purposes. You may also use AI Output for commercial purposes (such as incorporating it into your own products, publications, or creative works), provided that: (a) you do not systematically resell or sublicense raw AI Output as a standalone product or service (for example, selling bulk AI-generated content through your own API or content marketplace) without prior written authorization from Exypnos; (b) you comply with all other provisions of these Terms; and (c) you assume full responsibility for ensuring that your commercial use does not infringe on any third party's rights. You acknowledge that: (i) other users may receive similar or identical output; (ii) AI Output may not be protectable under intellectual property laws in all jurisdictions; (iii) AI Output may inadvertently contain material similar to copyrighted works in the AI model's training data; and (iv) you are solely responsible for ensuring that your use of AI Output does not infringe on any third party's rights.

You must not represent AI Output as human-created work in contexts where such representation would be deceptive, fraudulent, or in violation of applicable law, including but not limited to academic submissions, professional certifications, legal filings, or regulatory submissions where AI-generated content must be disclosed.

AI models accessible through the Service may be updated, modified, replaced, or removed at any time. Such changes may affect the quality, style, capabilities, or characteristics of AI Output. We are not obligated to maintain any particular model version or output quality level.

You acknowledge that AI models have inherent limitations, including but not limited to: knowledge cutoff dates after which they may not have information; inability to access real-time data unless specifically designed to do so; potential for generating biased output reflecting biases in training data; and inability to truly understand context, nuance, or intent in all situations.

8.Third-Party Models and Services

When you select non-Exypnos models, required prompts, attachments, and contextual data may be transmitted to Third-Party Providers to generate responses. You expressly consent to this transmission by selecting and using such models. You acknowledge that once data is transmitted to a Third-Party Provider, it is subject to that provider's terms and policies.

Third-Party Provider terms of service, acceptable use policies, and privacy policies may apply in addition to these Terms. It is your sole responsibility to review and comply with applicable third-party terms before using third-party models. Exypnos is not responsible for your failure to comply with third-party terms.

We do not control and are not responsible for the output, availability, accuracy, safety, content moderation practices, or conduct of Third-Party Providers. Third-party model capabilities, limitations, pricing, and policies may change without notice from us.

Current Third-Party Provider integrations include but are not limited to Anthropic, Google, Moonshot AI, OpenAI, DeepSeek, and GLM. This list may change at any time without notice. We may add new providers or remove existing ones based on availability, performance, cost, or other factors.

Third-Party Providers may impose their own usage restrictions, content policies, and rate limits that apply in addition to ours. If a Third-Party Provider restricts or terminates access to their services, your ability to use certain models through Exypnos may be affected without liability on our part.

We make no representations or warranties regarding the security practices, data handling, or privacy protections of Third-Party Providers. You use third-party models at your own risk.

9.Third-Party Links, Websites, and Resources

The Service may contain links to third-party websites, resources, advertisements, or services that are not owned or controlled by Exypnos. AI Output may also reference or link to third-party content.

Exypnos has no control over, and assumes no responsibility for, the content, privacy policies, practices, availability, or accuracy of any third-party websites or resources. The inclusion of any link does not imply endorsement, approval, or affiliation by Exypnos.

You acknowledge and agree that Exypnos shall not be responsible or liable, directly or indirectly, for any damage, loss, or harm caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites or resources.

We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit or interact with.

10.Your Content and Rights

You retain ownership of User Content you submit to the Service, subject to the licenses granted herein. Nothing in these Terms transfers ownership of your User Content to Exypnos.

By submitting User Content, you grant Exypnos a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, cache, process, transmit, display, reproduce, modify, adapt, and translate your User Content as reasonably necessary to operate, secure, and maintain the Service. This license does not, by itself, authorize Exypnos to use your User Content for AI model training; such use is governed separately by the Training Data and Data Partners settings described in Section 13 and in our Privacy Policy. This license continues for a commercially reasonable period after you delete your User Content from the Service, to account for backup copies and cached versions.

You represent and warrant that: (a) you own or have obtained all necessary rights, licenses, consents, and permissions to submit your User Content and to grant the licenses described herein; (b) your User Content does not violate any third party's intellectual property, privacy, publicity, contractual, or other rights; (c) your User Content complies with these Terms and all applicable laws and regulations; (d) your User Content does not contain any viruses, malware, or other harmful code; and (e) your User Content is not false, misleading, or deceptive.

We reserve the right (but have no obligation) to review, screen, monitor, filter, remove, refuse, or disable access to any User Content that we believe, in our sole discretion, violates these Terms, applicable law, or our policies, or that we find objectionable for any reason. We are not responsible for any failure or delay in removing such content.

You are solely responsible for maintaining backup copies of your User Content. We are not responsible for any loss, corruption, deletion, or destruction of User Content, regardless of the cause. We recommend that you maintain your own backup copies of any important data.

You acknowledge that User Content you submit may be visible to Exypnos personnel for purposes of service operation, security monitoring, abuse investigation, quality assurance, and legal compliance. You should not submit User Content that you are not comfortable being accessed by authorized Exypnos personnel.

If you submit User Content that includes personal data of third parties, you represent and warrant that you have obtained all necessary consents and have a lawful basis for submitting such data, and that doing so complies with all applicable data protection laws.

11.Prohibited Content

Without limiting Section 6, you must not submit, upload, or attempt to generate through the Service any content that:

• Depicts, promotes, or facilitates child sexual abuse or exploitation in any form, including but not limited to child sexual abuse material (CSAM), grooming, or any sexualization of minors.
• Contains non-consensual intimate imagery, revenge pornography, or deepfakes of real individuals without their explicit consent.
• Provides detailed instructions for creating weapons, explosives, chemical or biological agents, dangerous substances, or other instruments of harm.
• Constitutes or facilitates doxxing, stalking, swatting, or targeted harassment of individuals.
• Contains personal data of third parties submitted without their informed consent or a lawful basis under applicable data protection law.
• Promotes terrorism, violent extremism, radicalization, or recruitment for extremist organizations.
• Constitutes regulated professional advice (legal, medical, financial, psychological, or otherwise) presented as authoritative, licensed, or certified guidance when it is not.
• Contains content designed to manipulate, deceive, or defraud others, including phishing schemes, social engineering attacks, advance-fee fraud, or romance scams.
• Promotes or provides instructions for self-harm, suicide, eating disorders, or other dangerous behaviors.
• Contains content that sexualizes violence, promotes sexual assault, or normalizes non-consensual sexual activity.
• Infringes upon or misappropriates any patent, trademark, trade secret, copyright, or other proprietary right of any party.
• Contains malicious code, scripts, or payloads designed to exploit vulnerabilities in the Service or any connected systems.

12.Data Storage, Security, and Encryption

Exypnos stores user data — including chats, messages, account profile details, and uploaded files — on infrastructure we operate and manage. The physical location of our infrastructure may change from time to time, and data may be stored in multiple locations for redundancy and performance purposes.

We apply industry-standard encryption controls for data in transit (TLS 1.2 or higher) and at rest. However, encryption standards evolve, and we reserve the right to update our encryption methods as technology and best practices change.

Administrative decryption access to stored chat data is restricted to a limited number of authorized personnel, subject to access controls and audit logging, and is used only for service operation, security monitoring, abuse investigation, debugging, and legal compliance.

No method of electronic transmission or storage is 100% secure. While we strive to use commercially acceptable means to protect your data, we cannot guarantee its absolute security. You acknowledge and accept this inherent risk.

We maintain incident response procedures and will notify affected users and relevant authorities of confirmed data breaches as required by applicable law.

13.Training, Model Improvement, and Data Use Controls

This Section describes how Exypnos uses your data for purposes beyond generating real-time responses. It is important to distinguish between: (a) what Exypnos does with your data internally, and (b) what Third-Party Providers may do with data transmitted to them when you select their models.

When you select a third-party model, your prompts and attachments are transmitted to that provider to generate a response (as described in Section 8). Once transmitted, that data is subject to the Third-Party Provider's own terms and privacy policies, which may permit the provider to use submitted data for their own model improvement or training purposes. Exypnos's data-use controls described below apply only to Exypnos's own use of your data and do not override or restrict Third-Party Provider policies. If you do not want a Third-Party Provider to process your data under their terms, do not select their models.

Exypnos provides in-product settings that allow you to control how Exypnos uses your data beyond core service operation. These settings are located in your account Settings and currently include:

• Training Data: Controls whether explicit feedback you submit through response-rating actions (such as thumbs up/down) may be used by Exypnos for internal model improvement, safety tuning, and quality evaluation. When disabled, your explicit feedback will not be used for these purposes. This setting does not affect the processing of your prompts and inputs necessary to generate responses during normal use of the Service. For clarity, Exypnos does not use your prompts or conversation content for its own model training unless you have provided explicit feedback through the designated rating mechanisms and the Training Data setting is enabled.
• Data Partners: Controls whether eligible data that has been stripped of direct personal identifiers and aggregated with data from other users may be shared with trusted third-party model partners for their model-improvement purposes, which may include training. When disabled, no data will be shared with partners for training purposes. This setting is independent of the Training Data setting. "Eligible data" means only data that has undergone our de-identification process; raw prompts, personal information, and individually identifiable content are never shared with Data Partners.
• Usage Statistics: Controls whether usage and performance metrics (such as feature engagement counts, error rates, and session duration) are collected and used for service analytics and optimization. These metrics are collected in a form that does not directly identify individual users. When disabled, collection of these optional analytics is stopped. Core operational logging necessary for security, abuse detection, and service reliability is not affected by this setting.

14.Plans, Fees, and Future Paid Features

As of this version, Exypnos does not offer paid subscription tiers or charge fees for use of the Service.

We reserve the right to introduce paid tiers, premium features, usage-based pricing, credits, tokens, or other monetization mechanisms at any time. If paid features are introduced, additional billing, cancellation, refund, auto-renewal, and payment processing terms will be published and made available to you before any charges apply.

Any future paid features will require your affirmative consent before charges are incurred. We will not charge you without your explicit authorization.

If paid features are introduced, you agree that: (a) you will provide accurate and complete billing information; (b) you authorize us to charge your selected payment method for all fees incurred; (c) you are responsible for any taxes applicable to your purchases; and (d) you will promptly update your billing information if it changes.

We reserve the right to modify pricing for any paid features with reasonable advance notice. Price changes will not apply retroactively to existing prepaid periods.

15.Rate Limits and Fair Use

We may impose rate limits, usage quotas, message caps, file size restrictions, upload limits, bandwidth restrictions, or other usage constraints to ensure fair access, service stability, and sustainable operation.

These limits may vary by account type, model, feature, geographic region, or time period and may be adjusted at any time without prior notice. We will make reasonable efforts to communicate significant changes to usage limits.

Attempts to circumvent rate limits or usage restrictions through any means (including but not limited to multiple accounts, automated tools, proxy services, VPNs used for circumvention purposes, or coordination with other users) constitute a material violation of these Terms and may result in immediate termination.

We reserve the right to throttle, queue, or temporarily restrict access to the Service during periods of high demand or system stress to maintain service quality for all users.

Fair use means using the Service in a manner consistent with normal individual consumer usage patterns. Excessive or abusive usage that disproportionately impacts infrastructure resources or degrades the experience for other users may be restricted.

16.Service Availability, Modifications, and Discontinuation

We may add, remove, suspend, modify, or discontinue any feature, model, provider integration, or aspect of the Service at any time, with or without notice, and without liability to you or any third party.

We do not guarantee uninterrupted, timely, secure, or error-free operation of the Service. The Service may be subject to scheduled or unscheduled downtime for maintenance, updates, security patches, infrastructure changes, or other reasons.

We are not liable for any modification, suspension, or discontinuation of the Service or any part thereof, including any loss of data, features, or functionality resulting from such changes.

We may provide advance notice of significant changes where practicable, but are not obligated to do so. It is your responsibility to stay informed about changes to the Service.

The Service may include beta, preview, experimental, or early-access features ("Beta Features"). Beta Features are provided "as is" and "as available" without any warranties of any kind. Beta Features may be unstable, contain bugs, cause data loss, or be discontinued at any time. Your use of Beta Features is at your sole risk, and we may collect additional feedback and usage data related to Beta Features.

We reserve the right to establish general practices and limits concerning use of the Service, including but not limited to the maximum period of time that data or other content will be retained by the Service, the maximum storage space allotted on our servers, and the maximum number of times you may access the Service in a given period.

17.Suspension and Termination

We may suspend, restrict, or permanently terminate your access to the Service (in whole or in part) if: (a) you violate these Terms or any applicable law; (b) your use creates a security risk, legal liability, or risk of harm to Exypnos, other users, or third parties; (c) your account has been flagged for suspicious, fraudulent, or abusive activity; (d) we are required to do so by law, regulation, or legal process; (e) a Third-Party Provider restricts or terminates access to their services; or (f) for any other reason we reasonably determine is necessary to protect the Service, our users, or our business.

Where practicable and not prohibited by law or security concerns, we will provide notice before or promptly after taking action under this Section, including the reason for the action. In cases involving imminent security threats, legal requirements, or ongoing abuse, we may act without prior notice.

If your account is suspended (rather than terminated), you may request a review of the suspension by contacting [email protected]. We will review your request in good faith and respond within a reasonable timeframe. This review process does not apply to terminations for repeated or severe violations of these Terms, or where required by law.

You may stop using the Service and close your account at any time by contacting [email protected]. Account closure requests will be processed within a reasonable timeframe.

Upon termination: (a) your right to access the Service ceases immediately; (b) any licenses granted to you under these Terms to access and use the Service terminate; (c) you must cease all use of the Service. However, the following rights survive termination: (i) you retain ownership of your User Content and may keep any copies you have already exported or downloaded prior to termination; (ii) you retain the right to use AI Output that was generated and downloaded or exported prior to termination, subject to the conditions in Section 7 (including the prohibition on misrepresentation and the requirement not to systematically resell raw AI Output without authorization); and (iii) any outstanding obligations or liabilities incurred prior to termination survive.

We may, but are not obligated to, delete your data following termination. Some data may be retained as required by law, for legitimate operational purposes (such as fraud prevention and security), to resolve disputes, or to enforce our agreements. Retained data will continue to be subject to the applicable provisions of our Privacy Policy.

Sections of these Terms that by their nature should survive termination (including but not limited to Sections on Definitions, Intellectual Property, Your Content and Rights, AI Output rights and restrictions, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provisions that are intended to survive) will survive any termination or expiration of these Terms.

If your account is terminated for violation of these Terms, you may not create a new account without our prior written permission.

18.Intellectual Property

The Service, including all software, source code, object code, algorithms, models, design, text, graphics, photographs, illustrations, logos, trademarks, trade names, service marks, domain names, taglines, user interfaces, visual interfaces, and other materials (collectively, "Exypnos Materials"), is owned by or licensed to Exypnos One and is protected by copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws of Singapore and other applicable jurisdictions.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service in accordance with these Terms. For individual users, this license is for personal use. For users accessing the Service on behalf of an organization (as described in Section 2), this license extends to internal business use within that organization. In either case, this license does not include the right to: (a) modify, copy, reproduce, or create derivative works of Exypnos Materials; (b) sublicense, sell, resell, lease, rent, or commercially exploit the Service or any Exypnos Materials to third parties; (c) use any data mining, robots, scraping, or similar data gathering or extraction methods on the Service; (d) frame, mirror, or otherwise incorporate any part of the Service into any other website, application, or service; or (e) use the Service or Exypnos Materials in any manner that could damage, disable, overburden, or impair the Service.

All rights not expressly granted herein are reserved by Exypnos. No implied licenses are granted under these Terms.

The Exypnos name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Exypnos One or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

You acknowledge that the Service contains proprietary and confidential information that is protected by applicable intellectual property and other laws. You agree not to use any such proprietary information or materials in any way except for use of the Service in compliance with these Terms.

19.Feedback and Suggestions

If you submit feedback, suggestions, ideas, bug reports, feature requests, enhancement proposals, or other communications regarding the Service ("Feedback"), you grant Exypnos a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and create derivative works from such Feedback for any purpose, commercial or otherwise, without compensation, attribution, or obligation to you.

You waive any moral rights or equivalent rights in Feedback to the extent permitted by applicable law. You acknowledge that Exypnos is not obligated to use, implement, or respond to any Feedback.

You represent and warrant that your Feedback does not contain confidential or proprietary information of any third party, and that you have all necessary rights to submit such Feedback and grant the licenses described herein.

Exypnos may already be developing or may in the future develop ideas, features, or products similar to your Feedback. Nothing in these Terms shall be construed as creating an obligation for Exypnos to compensate you for any Feedback that is similar to independently developed ideas or features.

20.Copyright Complaints and Takedown

Exypnos respects the intellectual property rights of others and expects users of the Service to do the same. We will respond to properly submitted notices of alleged copyright infringement in accordance with the Copyright Act 2021 of Singapore and other applicable law.

If you believe that content available through the Service infringes a copyright you own or are authorized to act for, you may submit a written takedown notice to [email protected] containing: (a) your name and contact details, including your address, telephone number, and email address; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the material you claim is infringing, with information reasonably sufficient to permit us to locate it on the Service; (d) a statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (e) a statement that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf. Notices that do not contain this information may not be actioned. Written notices may also be sent by post to: Exypnos One, Level 39, Marina Bay Financial Centre Tower Two, 10 Marina Boulevard, Singapore 018983, Attn: Copyright Agent.

Upon receipt of a compliant notice, we may remove or disable access to the allegedly infringing material and will take reasonable steps to notify the user who submitted it. The affected user may submit a counter-notification to [email protected] containing: (a) their name and contact details; (b) identification of the material that has been removed or disabled and the location at which it appeared before removal; and (c) a statement, made in good faith, that the material was removed or disabled as a result of mistake or misidentification. Where appropriate, we may restore the material after a reasonable period unless the original complainant pursues the matter through the courts.

Knowingly making a material misrepresentation in a takedown notice or counter-notification may expose you to liability for damages, costs, and legal fees under applicable law, including the Copyright Act 2021 of Singapore.

We reserve the right to remove allegedly infringing content and to suspend or terminate, in appropriate circumstances and at our sole discretion, the accounts of users who repeatedly infringe the copyright or other intellectual property rights of others.

For rights holders who prefer to proceed under the United States Digital Millennium Copyright Act (DMCA), we will also consider notices and counter-notifications that comply with 17 U.S.C. § 512 and contain the elements required by that statute. Such notices may be sent to the same email or postal address above.

21.Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

EXYPNOS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, EXYPNOS MAKES NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) AI OUTPUT WILL BE ACCURATE, RELIABLE, COMPLETE, CURRENT, OR FREE FROM BIAS; (D) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (E) THE SERVICE IS FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS; (F) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (G) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (H) ANY CONTENT WILL BE SECURE OR NOT OTHERWISE LOST OR ALTERED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM EXYPNOS OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

EXYPNOS DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, AND EXYPNOS WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

YOU ACKNOWLEDGE THAT AI TECHNOLOGY IS RAPIDLY EVOLVING AND THAT THE SERVICE MAY PRODUCE UNEXPECTED, INCONSISTENT, OR UNDESIRABLE RESULTS. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF AI OUTPUT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND ANY WARRANTIES THAT CANNOT BE EXCLUDED ARE LIMITED TO THE MINIMUM PERIOD AND SCOPE REQUIRED BY LAW.

22.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXYPNOS, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, CONTRACTORS, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "EXYPNOS PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.

WITHOUT LIMITING THE FOREGOING, THE EXYPNOS PARTIES SHALL NOT BE LIABLE FOR: (A) ANY ERRORS, INACCURACIES, OR OMISSIONS IN AI OUTPUT; (B) ANY PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICE; (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; (D) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (E) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY; (F) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; (G) ANY ACTIONS OR DECISIONS MADE BASED ON AI OUTPUT; OR (H) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

IN NO EVENT SHALL THE EXYPNOS PARTIES' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU ACTUALLY PAID TO EXYPNOS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED SINGAPORE DOLLARS (S$100.00).

NOTWITHSTANDING THE FOREGOING, NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; (C) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; OR (D) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING MANDATORY CONSUMER PROTECTION STATUTES IN YOUR JURISDICTION.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, PRODUCT LIABILITY, OR OTHERWISE) AND EVEN IF THE EXYPNOS PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EXCEPT AS EXPRESSLY STATED IN THE PRECEDING PARAGRAPH. THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIABILITY OF THE EXYPNOS PARTIES IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN EXYPNOS AND YOU, AND THAT EXYPNOS WOULD NOT PROVIDE THE SERVICE WITHOUT SUCH LIMITATIONS.

23.Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Exypnos Parties from and against any and all claims, demands, actions, suits, proceedings, liabilities, losses, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable legal fees and costs on a full indemnity basis) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content, including any claim that your User Content infringes or misappropriates any third party's intellectual property or other rights; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or order; (e) your violation of any third party's rights, including intellectual property, privacy, publicity, or contractual rights; (f) any dispute between you and any third party arising from your use of the Service; or (g) your negligence or willful misconduct. This indemnification obligation does not apply to the extent that the claim arises from Exypnos's own negligence, willful misconduct, or breach of these Terms.

Exypnos reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with Exypnos in asserting any available defenses. You agree not to settle any matter without the prior written consent of Exypnos.

This indemnification obligation will survive the termination or expiration of these Terms and your use of the Service.

If you are located in a jurisdiction where consumer indemnification obligations are restricted or prohibited by law (such as certain EEA member states), this Section applies only to the extent permitted by the laws of your jurisdiction.

24.Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction require otherwise.

Before commencing any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting [email protected] and allowing at least thirty (30) days for resolution. During this informal resolution period, both parties agree to negotiate in good faith and to provide all information reasonably necessary to resolve the dispute. Many concerns can be resolved quickly and to your satisfaction this way.

Subject to the informal resolution process above, you and Exypnos agree that the courts of the Republic of Singapore shall have exclusive jurisdiction to hear and settle any dispute or claim arising out of or in connection with these Terms or the Service, and each party irrevocably submits to the jurisdiction of those courts. This does not deprive you of any protection afforded by mandatory provisions of the law of your place of habitual residence, and where applicable law gives you the right to bring proceedings in the courts of your own country, nothing in this Section removes that right.

If you are dealing with us as a consumer, nothing in these Terms affects your statutory rights under the Consumer Protection (Fair Trading) Act 2003 of Singapore or other mandatory consumer protection laws that cannot be excluded or restricted by agreement.

Small claims: Nothing in these Terms prevents either party from pursuing a claim through any small claims tribunal of competent jurisdiction. For residents of Singapore, eligible disputes may be brought before the Small Claims Tribunals where the claim falls within that tribunal's monetary and subject-matter jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or other proprietary rights.

To the extent permitted by applicable law, any claim arising out of or related to these Terms or the Service must be commenced within one (1) year after such claim arose; otherwise, the claim is permanently barred. Where applicable law provides a mandatory limitation period that cannot be shortened by agreement, that mandatory period applies instead.

25.Export Compliance and Sanctions

You agree to comply with all applicable export control, trade sanctions, and economic sanctions laws and regulations. These include the Strategic Goods (Control) Act 2002 and the Regulation of Imports and Exports Act 1995 of Singapore (administered by Singapore Customs); sanctions and restrictions imposed by the United Nations Security Council and given effect under the United Nations Act 2001 of Singapore; and — because the Service relies in part on technology of United States origin — applicable United States export controls (including the Export Administration Regulations (EAR)) and sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), together with any equivalent laws and regulations in your jurisdiction.

You represent and warrant that: (a) you are not located in, ordinarily resident in, or under the control of any country or territory subject to comprehensive sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) you are not identified on any applicable restricted-party or sanctions list, including the United Nations Consolidated Sanctions List, the U.S. Specially Designated Nationals and Blocked Persons List (SDN List), the Entity List, or the Denied Persons List; and (c) you will not use the Service in violation of any applicable export control or sanctions laws.

You agree not to export, re-export, or transfer the Service or any technical data or information obtained through the Service to any prohibited destination, entity, or person without the required government authorizations.

Violation of export control or sanctions laws may result in immediate termination of your access to the Service and may subject you to civil and criminal penalties.

26.Electronic Communications Consent

By using the Service or providing your email address, you consent to receive electronic communications from Exypnos, including but not limited to service announcements, administrative messages, security alerts, legal notices, policy updates, and other information related to the Service.

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You may opt out of non-essential promotional communications by following the unsubscribe instructions in such communications or by contacting [email protected]. However, you may not opt out of essential service-related communications, including security alerts, legal notices, and Terms updates.

27.Open Source and Third-Party Software

The Service may incorporate or be distributed with open source software or third-party software components. Such components are subject to their respective open source or third-party license terms, which may be found in the Service's documentation, source code repositories, or upon request.

To the extent that any open source license terms conflict with these Terms, the open source license terms shall govern solely with respect to the applicable open source component.

Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open source license.

Exypnos makes no warranty regarding the suitability, reliability, or security of any open source or third-party software components incorporated into the Service.

28.Force Majeure

Exypnos shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control ("Force Majeure Events"), including but not limited to: natural disasters, acts of God, war, armed conflict, terrorism, riots, civil unrest, embargoes, sanctions, acts of civil or military authorities, fire, floods, earthquakes, hurricanes, epidemics, pandemics, power outages, internet or telecommunications failures, infrastructure failures, cyberattacks (including distributed denial-of-service attacks), ransomware attacks, third-party service provider failures or outages, labor disputes or strikes, government actions or regulations, or any other event beyond our reasonable control.

In the event of a Force Majeure Event, Exypnos's obligations under these Terms shall be suspended for the duration of the Force Majeure Event, and Exypnos shall use commercially reasonable efforts to resume performance as soon as practicable.

29.No Agency or Partnership

Nothing in these Terms shall be construed to create a joint venture, partnership, employment, franchise, or agency relationship between you and Exypnos. Neither party has the authority to bind the other or to incur any obligation on behalf of the other.

You may not represent yourself as an agent, employee, representative, or affiliate of Exypnos, or imply any such relationship, without our prior written consent.

30.Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties, or if modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

31.Entire Agreement and Waiver

These Terms, together with the Privacy Policy and any other policies, guidelines, or supplemental terms referenced herein or posted on the Service, constitute the entire agreement between you and Exypnos regarding the Service and supersede all prior or contemporaneous agreements, understandings, representations, warranties, and communications, whether written or oral, relating to the subject matter hereof.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Exypnos to be effective.

32.Assignment

You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder, in whole or in part, without the prior written consent of Exypnos. Any attempted assignment, delegation, or transfer in violation of this section is null and void.

Exypnos may freely assign, delegate, or transfer these Terms, in whole or in part, at any time without notice or consent, including in connection with a merger, acquisition, corporate reorganization, sale of all or substantially all of its assets, or by operation of law. Following any such assignment, the assignee shall assume all of Exypnos's rights and obligations under these Terms.

33.Notices and Communications

Exypnos may provide notices to you through the Service (such as in-product banners, consent prompts, or notifications), via email to the address associated with your account, or through other reasonable means.

Notices to Exypnos must be sent to [email protected] and are deemed received when actually received by Exypnos. You are responsible for keeping your contact information current. Notices sent to the email address associated with your account are deemed delivered, whether or not you actually receive them.

Exypnos is committed to making the Service accessible to all users, including those with disabilities. We strive to follow applicable accessibility standards and guidelines.

If you experience any accessibility barriers while using the Service, please contact us at [email protected] with a description of the issue. We will make reasonable efforts to address accessibility concerns and improve the Service's accessibility over time.

We do not guarantee that the Service meets any specific accessibility standard (such as WCAG) in its entirety, but we are committed to ongoing improvement.

36.European Economic Area (EEA) and United Kingdom Residents — Additional Rights

Nothing in these Terms is intended to limit any rights you may have under applicable consumer protection laws in your jurisdiction that cannot be waived or limited by contract. Where mandatory consumer protection laws apply, the provisions of these Terms shall be read subject to those mandatory protections. In particular: (a) any unilateral modification rights are subject to your right to terminate the agreement if you do not accept the changes; (b) warranty disclaimers and liability limitations apply only to the extent permitted by the consumer protection laws of your jurisdiction; (c) indemnification obligations apply only to the extent permitted by the laws of your jurisdiction; and (d) the one-year claim limitation period in Section 24 does not apply where a longer mandatory limitation period is provided by the laws of your jurisdiction.

If you are an EEA, UK, or Swiss resident, the governing law and jurisdiction provisions in Section 24 apply only to the extent permitted by the laws of your jurisdiction. Where such provisions are not enforceable, disputes shall be resolved in the courts of your place of residence, and you shall have the benefit of any mandatory consumer protection provisions of the law of your habitual residence.

For EEA residents, the European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in online dispute resolution proceedings, but we will consider participation on a case-by-case basis.

If Exypnos is required to appoint a representative in the EEA or UK under Article 27 of the GDPR or equivalent UK legislation, details of such representative will be published on our website and updated in this section. 37.Interpretation and Construction

The section titles and headings in these Terms are for convenience only and have no legal or contractual effect.

As used in these Terms, the word "including" means "including but not limited to," and the word "or" is not exclusive.

References to "days" mean calendar days unless otherwise specified. References to "business days" mean days other than Saturdays, Sundays, and public holidays in Singapore.

These Terms shall not be construed against the drafter. Both parties acknowledge that they have had the opportunity to review these Terms and that the normal rule of construction that ambiguities are to be resolved against the drafting party shall not apply.

Any reference to a statute, regulation, or law includes all amendments, replacements, and successor legislation thereto.

38.Changes to These Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make changes, we will update the version number and effective date at the top of this page.

We classify changes as either material or non-material. Material changes are those that substantively affect your rights, obligations, or the nature of the Service (for example, changes to dispute resolution provisions, liability limitations, data use practices, or pricing). Non-material changes include corrections, formatting, clarifications that do not alter the substance of any provision, or additions related to new optional features.

For material changes, we will notify you through the Service (such as a consent prompt, banner, email notification, or in-product alert) at least seven (7) days before the changes take effect, unless the changes are required by law, in which case they may take effect immediately. Material changes require your renewed affirmative acceptance through a click-through consent mechanism before you may continue using the Service. If you do not accept the updated Terms when prompted, your access will be restricted until acceptance is provided. If you do not wish to accept the updated Terms, you may close your account.

Translations of these Terms published on the Service — including the Spanish, Japanese, Filipino, and Simplified Chinese versions — are produced using artificial intelligence and are not certified, sworn, or independently verified legal translations. They have no legal effect, create no rights or obligations, and are not a substitute for the English version.

To the fullest extent permitted by applicable law, Exypnos accepts no liability for any error, omission, mistranslation, or ambiguity introduced by a translated version, or for any reliance placed on a translated version. No translated version may be cited against Exypnos as evidence of the meaning of any provision of these Terms.

You acknowledge that you have read and understood these Terms in English, or have had the opportunity to obtain a translation and independent legal advice.
